LINZ & CO.
SERVICE AGREEMENT

Thank you for choosing Linz & Co., LLC. We look forward to helping your business establish, strengthen, and maintain its online presence.

This Service Agreement outlines the terms, responsibilities, payment policies, and conditions associated with our services. Please review it carefully before making your selection and electronically signing.

1. SERVICES & SCOPE OF WORK

This Service Agreement ("Agreement") is entered into between Linz & Co., LLC ("Company") and the individual or business purchasing services ("Client").

Linz & Co., LLC agrees to provide the services selected by the Client and confirmed in the applicable order, service selection form, or written proposal.

Services may include social media management, content creation, social media page setup, Google Business Profile services, website design, audits, and related digital marketing services.

The specific services, deliverables, pricing, and billing frequency will be defined in the Client's accepted service selection or written project agreement. Any additional work outside the agreed scope must be approved by both parties and may result in additional charges.

2. MONTHLY SERVICES, BILLING & CANCELLATION

Monthly social media management services are provided on a month-to-month basis at the rate specified in the Client's selected package or accepted written agreement.

Monthly service fees are payable in advance. When the Client purchases a recurring subscription and authorizes automatic payments at checkout, the subscription renews monthly at the selected rate until canceled. Recurring charges will not be processed without the Client's authorization.

Clients may cancel future subscription renewals at any time through their Wix subscription account or by submitting a written cancellation request to Linz & Co., LLC at its designated business contact email address. Cancellation takes effect at the end of the current paid billing period. No additional monthly renewal charges will be made after cancellation becomes effective.

Payments for the current billing period are nonrefundable except as required by applicable law or otherwise agreed in writing. Linz & Co., LLC appreciates thirty (30) days' advance notice whenever possible to coordinate scheduled content, outstanding deliverables, and account transitions. However, thirty (30) days' notice is not required to cancel future renewals.

Cancellation of monthly services does not cancel or waive payment obligations for separately purchased one-time services or website design projects.

3. ONE-TIME SERVICES, PAYMENTS & CANCELLATION

One-time services require payment in full before work begins unless otherwise specified in a written agreement between Linz & Co., LLC and the Client.

One-time services may include social media page setup, Google Business Profile setup, content creation, social media audits, website and SEO audits, and other individually purchased services.

Services will begin once payment has been received and the Client has provided the necessary information, materials, and access required to complete the work.

Deliverables and included revisions will be limited to those described in the purchased service. Any additional revisions, services, or changes outside the agreed scope may require additional payment and Client approval.

If the Client cancels a one-time service before completion, Linz & Co., LLC may retain or charge an amount corresponding to work already performed and agreed nonrecoverable expenses, subject to applicable law. Any remaining prepaid balance will be refunded. Charges will not exceed the agreed service price unless additional expenses were separately authorized.

4. WEBSITE DESIGN, DEPOSITS & FINAL PAYMENTS

Website design services begin at $750. The final project price, scope of work, and deliverables will be confirmed in writing before work begins.

A deposit equal to fifty percent (50%) of the agreed project price is required before website design services begin. The remaining fifty percent (50%) is due upon substantial completion of the agreed website design and any included revisions.

The Client will be given seven (7) calendar days to review the completed website draft and submit requests for revisions included in the agreed scope of work. Linz & Co., LLC will address those revisions before issuing the final completion notice.

Final payment is due within seven (7) calendar days after written notification that the agreed work is complete and ready for launch. Final payment is not contingent upon the Client's decision to publish, launch, or use the completed website.

If the Client chooses to cancel the project before completion, Linz & Co., LLC will calculate charges for work already performed and agreed nonrecoverable expenses. Payments already received will be credited toward those charges. Any remaining balance will be refunded, or any additional amount owed under the agreement will be invoiced.

Website ownership and the transfer of completed deliverables will occur upon receipt of full payment, subject to any third-party licenses or services.

Domain registration, website hosting, premium subscriptions, and ongoing website maintenance are not included unless specifically stated in the accepted project proposal.

Additional pages, features, revisions, or changes outside the agreed project scope may result in additional charges, subject to the Client's written approval.

Any automatic charge for the remaining balance requires the Client's separate, explicit authorization to store and charge their payment method under the disclosed payment terms.

5. CLIENT RESPONSIBILITIES & REQUIRED MATERIALS

The Client agrees to provide Linz & Co., LLC with accurate, complete, and timely information necessary to perform the purchased services.

Required materials may include business descriptions, logos, photographs, branding materials, website content, social media information, and appropriate access to relevant accounts or platforms.

The Client is responsible for ensuring that all materials provided to Linz & Co., LLC are owned by the Client or properly licensed for their intended use. The Client agrees not to provide copyrighted, misleading, unlawful, or unauthorized materials.

When account access is required, the Client agrees to provide appropriate administrative or management permissions through the platform's authorized access tools whenever available. Linz & Co., LLC will not require ownership of the Client's personal social media accounts.

The Client agrees to respond to reasonable requests for information, feedback, and approvals in a timely manner. Delays in providing required materials or approvals may result in adjustments to the anticipated project completion date.

If required information or access is not provided within fourteen (14) calendar days of a written request, Linz & Co., LLC may temporarily pause the affected project after notifying the Client. Work will resume when the necessary information is received, subject to scheduling availability.

The Client remains responsible for payment obligations associated with work already performed and agreed expenses, in accordance with the applicable service and cancellation terms.

The Client is responsible for reviewing and approving final materials before publication when approval is required under the agreed scope of services.

6. CONTENT OWNERSHIP, INTELLECTUAL PROPERTY & PORTFOLIO RIGHTS

Upon receipt of full payment, the Client will receive ownership of the original, custom-created final deliverables specifically identified in the agreed scope of work, to the extent those rights are owned and transferable by Linz & Co., LLC.

Linz & Co., LLC retains ownership of its pre-existing templates, design systems, business processes, strategies, tools, and proprietary materials. The Client will receive the rights necessary to use any such materials incorporated into the completed deliverables for their intended business purposes.

Third-party materials, including stock images, fonts, software, website platforms, and licensed design elements, remain subject to their respective licensing agreements. Linz & Co., LLC cannot transfer ownership rights that it does not possess.

All logos, photographs, trademarks, business information, and other materials originally provided by the Client remain the property of the Client or their respective owners.

The Client retains ownership and control of their business social media accounts, websites, and domain registrations. Linz & Co., LLC will maintain only the permissions necessary to perform the contracted services.

With the Client's written permission, Linz & Co., LLC may display completed, publicly released work in its professional portfolio, website, social media accounts, and promotional materials for the purpose of demonstrating its services.

Linz & Co., LLC will not publicly disclose confidential business information, unpublished materials, private account data, or sensitive Client information without appropriate authorization.

7. CONFIDENTIALITY, ACCOUNT SECURITY & PROFESSIONAL RESPONSIBILITIES

Linz & Co., LLC agrees to treat nonpublic Client information as confidential and to use such information only as reasonably necessary to perform the agreed services.

Confidential information may include business strategies, financial information, customer information, unpublished marketing materials, account credentials, and other sensitive business records.

Both parties agree not to disclose the other party's confidential information to unauthorized individuals or third parties, except when necessary to perform contracted services, authorized by the information owner, or required by law. This obligation does not apply to information that becomes publicly available through no breach of this Agreement.

Linz & Co., LLC will use reasonable security practices when accessing Client accounts, including appropriate access permissions and available account security features. The Client agrees to maintain secure account credentials and promptly notify Linz & Co., LLC of any suspected unauthorized account activity.

Linz & Co., LLC will not knowingly make unauthorized changes to Client accounts, transfer account ownership, or disclose private business information without permission.

Both parties agree to promptly notify one another upon discovering a suspected security incident involving information or account access relevant to the services being provided.

Upon termination of services, Linz & Co., LLC will reasonably cooperate in returning or transferring Client materials and removing its account access, subject to outstanding payment obligations and applicable legal recordkeeping requirements.

Linz & Co., LLC is not responsible for independent actions, outages, policy changes, or security incidents involving third-party platforms that are outside its reasonable control. This provision does not excuse Linz & Co., LLC from responsibility for its own conduct or failure to meet its contractual obligations.

8. MARKETING RESULTS, PLATFORM CHANGES & LIMITATIONS

Linz & Co., LLC agrees to perform its marketing and digital services with reasonable care, professionalism, and attention to the Client's stated business goals.

The Client acknowledges that digital marketing results depend on numerous factors outside the direct control of Linz & Co., LLC, including market conditions, competition, audience behavior, advertising budgets, platform algorithms, and the Client's own business operations.

Linz & Co., LLC does not guarantee specific numbers of followers, likes, engagement, website visitors, leads, customers, sales, search engine rankings, or revenue unless a specific measurable commitment is expressly included in a separate written agreement.

Social media platforms, search engines, and other third-party services may change their policies, algorithms, features, pricing, or availability without advance notice. Such changes may affect the performance or delivery of marketing services.

Linz & Co., LLC will make reasonable efforts to adapt its services to relevant platform changes and will notify the Client when significant adjustments to the agreed scope of work become necessary.

Advertising expenditures, boosted posts, paid promotions, and third-party subscription fees are not included in service pricing unless expressly stated in the accepted proposal. Any additional expenses require the Client's authorization before being incurred.

The Client acknowledges that marketing services are intended to improve the quality, consistency, and effectiveness of the Client's digital presence, but results may vary and are not guaranteed.

Nothing in this section relieves Linz & Co., LLC of its obligation to perform the services specifically promised in the accepted agreement.

9. LIABILITY, DISPUTES & GOVERNING LAW

Linz & Co., LLC agrees to provide its services with reasonable care and professionalism. The Company is responsible for fulfilling the obligations expressly stated in the accepted service agreement.

To the extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, or consequential damages arising from the services provided, including lost profits, lost business opportunities, or anticipated revenue.

Linz & Co., LLC shall not be held responsible for disruptions, outages, account restrictions, algorithm changes, or other actions taken independently by third-party platforms outside the Company's reasonable control. This provision does not excuse the Company from responsibility for its own negligence, misconduct, or failure to fulfill its contractual obligations.

If a disagreement arises regarding services, payments, deliverables, or performance, both parties agree to make a good-faith effort to resolve the matter through written communication before pursuing formal legal action.

The party raising a dispute should provide written notice describing the issue and the resolution requested. The receiving party will have fifteen (15) calendar days to respond. This process does not prevent either party from seeking urgent legal relief or taking action necessary to preserve legal rights or deadlines.

This Agreement shall be governed by the laws of the State of Georgia, except where other applicable laws require otherwise. Any legal proceedings shall be brought before a court with appropriate jurisdiction.

Nothing in this Agreement limits rights or remedies that cannot legally be waived or restricted under applicable law.

10. AGREEMENT ACCEPTANCE, ELECTRONIC SIGNATURES & FINAL TERMS

By electronically acknowledging and signing this Agreement, the Client confirms that they have been provided access to the complete Service Agreement, have had an opportunity to review its terms, and agree to the conditions applicable to their selected services.

The Client understands that their selected services, applicable pricing, payment schedule, and any separately accepted written project proposal form part of the contractual agreement between the Client and Linz & Co., LLC.

The Client agrees that an electronic signature may be used to indicate acceptance of this Agreement and intends for that signature to have the same effect as a handwritten signature, to the extent permitted by applicable law.

Monthly recurring payments and any future charges to a stored payment method require separate, explicit authorization from the Client. Acceptance of this Service Agreement alone does not authorize charges beyond those separately disclosed and approved.

This Agreement becomes effective upon the Client's electronic acceptance and Linz & Co., LLC's acceptance of the service order. Work will begin according to the applicable payment terms and receipt of required Client materials.

This Agreement, together with the accepted service selections and any applicable written project proposal, constitutes the complete agreement between the parties regarding the purchased services. Any modifications to the agreed scope, pricing, or material terms must be approved in writing by both parties.

Updates to the Service Agreement published after the Client's acceptance will not automatically change the terms of an existing agreement without the parties' consent.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

The Client acknowledges that they may retain a copy of this Agreement for their records and should contact Linz & Co., LLC with any questions before signing.
